These Terms of Service (“Terms”) govern your access to and use of GroomSlot (“we”, “us”, “our”), including our website, software platform, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, you must not use the Service.

1. Definitions

  • “User”, “you”, “your” means the individual or organisation using the Service.
  • “Service” means the GroomSlot software platform, including all features, applications, and related services.
  • “Subscription” means a paid plan granting access to the Service.
  • “User Data” means data, content, or information you upload or input into the Service.
  • “Content” means any text, images, or materials made available through the Service.
  • “Data Protection Laws” means UK GDPR and the Data Protection Act 2018.

2. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service.

If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation.

3. Account Registration

You are responsible for:

  • Providing accurate account information
  • Maintaining the security of your account credentials
  • All activity occurring under your account

You must notify us immediately of any unauthorised access.

We may suspend or terminate accounts that breach these Terms or pose a security risk.

4. Service Description

GroomSlot is a software platform that enables businesses to manage:

  • Bookings and appointments
  • Customer records
  • Automated reminders and communications

Features may vary depending on your Subscription plan.

We may modify, update, or discontinue features at any time.

5. Subscription, Billing & Renewal

Access to the Service requires a paid Subscription unless otherwise stated.

5.1 Billing

  • Subscriptions are billed monthly or annually in advance
  • Payments automatically renew unless cancelled before renewal
  • You authorise us to charge your payment method for recurring fees

5.2 Price Changes

We may update pricing with at least 30 days’ notice. Continued use after changes take effect constitutes acceptance.

5.3 Upgrades & Downgrades

  • Upgrades may be charged immediately on a prorated basis
  • Downgrades apply from the next billing cycle

5.4 Cancellation

You may cancel at any time. Access continues until the end of the billing period. No refunds are provided unless required by law.

6. Free Trials

We may offer free trials subject to eligibility.

Unless cancelled before the trial ends:

  • Your Subscription will automatically begin
  • You will be charged the applicable fee

We may modify or withdraw free trials at any time.

7. Acceptable Use

You agree not to:

  • Use the Service unlawfully
  • Violate applicable laws or regulations
  • Infringe intellectual property rights
  • Attempt unauthorised access to systems
  • Introduce malware or harmful code
  • Interfere with Service operation or security
  • Use automated scraping or extraction tools
  • Misrepresent your identity or affiliation
  • Exceed usage limits of your plan

8. Customer Responsibilities (Communications & Compliance)

You are solely responsible for:

  • The content of messages sent through the Service
  • Ensuring lawful basis for communications (including UK GDPR and PECR compliance)
  • Obtaining necessary consent for SMS, email, WhatsApp, or other messaging channels
  • Ensuring your use of customer data complies with applicable law

We act only as a technical service provider and do not determine the legality of communications sent through the Service.

9. User Data & Ownership

You retain ownership of your User Data.

By using the Service, you grant us a worldwide, non-exclusive licence to process User Data solely to:

  • Provide and maintain the Service
  • Provide customer support
  • Prevent fraud or security issues
  • Comply with legal obligations

10. Data Protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018.

10.1 Roles

  • You are the Data Controller
  • We are the Data Processor when processing User Data on your behalf

We may act as a separate Data Controller for:

  • Billing
  • Account management
  • Legal compliance

11. Data Security & Retention

We implement appropriate technical and organisational security measures.

Upon termination:

  • User Data is retained for up to 30 days for recovery purposes
  • Backup copies may persist for up to 90 days before deletion

12. Third-Party Services

The Service integrates with third-party providers such as:

  • Payment processors
  • SMS and WhatsApp messaging providers
  • Email delivery providers

We are not responsible for:

  • Third-party service availability
  • Message delivery failures or delays
  • Third-party terms or policies

13. Service Availability

We aim to provide high availability of the Service but do not guarantee uninterrupted access.

We may suspend the Service for:

  • Maintenance
  • Updates
  • Security or operational reasons

Where possible, we will schedule maintenance during low-usage periods.

14. Service Level Agreement

We aim for 99.9% uptime excluding scheduled maintenance.

Any service credits or remedies (if applicable) are governed by a separate SLA document, which forms part of these Terms.

15. Intellectual Property

All intellectual property rights in the Service are owned by GroomSlot or its licensors.

We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes in accordance with these Terms.

You may not:

  • Copy, modify, or distribute the Service
  • Reverse engineer or attempt to extract source code
  • Use the Service outside permitted business use

16. Feedback

Any feedback or suggestions you provide may be used by us without restriction, attribution, or compensation.

You grant us a perpetual, worldwide, royalty-free licence to use such feedback.

17. Suspension and Termination

We may suspend or terminate your access immediately if:

  • You breach these Terms
  • Your account poses a security or legal risk
  • Required by law

Upon termination:

  • Your access to the Service will cease
  • Your licence is revoked
  • Data deletion will follow Section 11

You may terminate your account at any time via your account settings.

18. Disclaimer

The Service is provided on an “as is” and “as available” basis.

We do not guarantee:

  • That the Service will be error-free
  • Uninterrupted access
  • That defects will be corrected
  • That the Service will meet all requirements

19. Limitation of Liability

Nothing in these Terms limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under UK law

To the fullest extent permitted by law:

  • We are not liable for indirect or consequential losses
  • Our total liability is limited to fees paid by you in the previous 12 months

20. Indemnity

You agree to indemnify and hold harmless GroomSlot from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your User Data
  • Your breach of these Terms

21. Force Majeure

We are not liable for failure or delay caused by events outside our reasonable control, including:

  • Natural disasters
  • War or terrorism
  • Internet or infrastructure failures
  • Pandemics or government action

22. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.

Disputes shall be subject to the courts of England and Wales, except where consumer law provides otherwise.

23. Entire Agreement

These Terms, together with the Privacy Policy and any incorporated documents (including the SLA and DPA), constitute the entire agreement between you and GroomSlot.

24. Changes to Terms

We may update these Terms from time to time.

We will provide notice of material changes. Continued use of the Service after changes take effect constitutes acceptance.

25. Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain in full force.

26. Assignment

You may not assign these Terms without our consent.

We may assign or transfer these Terms without restriction.
